Terms of Use, Service and Privacy Policy

These Terms apply to the QNSP website, documentation portal, and QNSP Cloud services.

CUI Labs (Pte.) Ltd. ("CUI Labs", "we", "us", "our") provides the QNSP website, documentation, and QNSP Cloud services.

This document combines the Terms of Use, Service and the Privacy Policy (together, "Terms") for:

Private, sovereign, and air-gapped deployments delivered into customer-controlled environments are governed by separate negotiated agreements.

Terms of Use, Service and Privacy Policy

By accessing or using QNSP (including our website, documentation, console, APIs, SDKs, and related services), you agree to be bound by these Terms.

If you are using QNSP on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

Eligibility and accounts

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Acceptable use

You agree not to:

  • Use QNSP in violation of applicable laws or regulations.
  • Attempt to bypass authentication, authorization, or tenant isolation controls.
  • Probe, scan, or test the vulnerability of QNSP systems except with explicit written permission.
  • Interfere with, disrupt, or degrade the availability of the services.
  • Upload malware, exploit code, or conduct phishing or fraud through the platform.
  • Reverse engineer, decompile, or attempt to extract source code except as permitted by law and applicable open-source licenses.
  • Use QNSP to process or store unlawful content.

We may suspend or restrict access if we reasonably believe your use violates these Terms or poses a security or operational risk.

Security and customer responsibilities

You are responsible for securing your account, credentials, API keys, and any client applications you build.

You are responsible for the legality, accuracy, and integrity of data you upload or process ("Customer Data").

You agree to promptly notify us of any suspected unauthorized access to your account.

APIs, SDKs, and service limits

Your use of APIs and SDKs is subject to technical and operational limits (including request rate limits), as documented. Excessive usage may be throttled.

You must not use the APIs to scrape, benchmark, or copy the services in a way that materially competes with QNSP.

Cloud, resource, and infrastructure terms

QNSP Cloud is delivered as a managed service and is operated on top of third-party infrastructure providers (including AWS). CUI Labs is responsible for operating QNSP Cloud; you do not contract with AWS through your use of QNSP Cloud.

You acknowledge that the services may depend on network connectivity, cloud regions, availability zones, and third-party dependencies. We may enforce quotas, capacity controls, and fair-use limits to protect service reliability and other tenants.

You may not attempt to access underlying cloud resources directly, bypass controls, or use QNSP Cloud to mine cryptocurrency or perform unauthorized compute workloads.

Fees, billing, and refunds

Fees and billing terms (if applicable to your tier) are presented in the QNSP Cloud console and/or in a separate written agreement.

Unless required by law or expressly stated otherwise, fees are non-refundable.

Intellectual property, licensing, and software distribution

We retain all rights, title, and interest in and to QNSP as a service (including its branding, UI, and proprietary components), except for open-source components.

Repository source code is multi-licensed per-package. Refer to the applicable LICENSE files in the repository, including the repository-level licensing overview.

  • Public SDK packages (packages with publishConfig.access: "public") are licensed under the Apache License 2.0.
  • Core platform packages may be licensed under the Business Source License 1.1 (with a Change License of GPL-2.0-or-later), as described in the repository licensing overview.
  • Third-party open-source dependencies are licensed by their respective authors under their own licenses.

Your right to use SDKs, CLI tools, or other distributed software is governed by the applicable open-source license(s) for those components. Your right to use QNSP Cloud is governed by these Terms and any separate agreement.

You may not copy, redistribute, resell, sublicense, or provide access to QNSP Cloud or its proprietary components except as permitted by an applicable written agreement.

Technical Preview and beta features

Some services and features may be identified as “Technical Preview”, “Beta”, or similar. These features may be unstable and are provided “as-is”. They may change or be discontinued at any time.

Suspension and termination

We may suspend or terminate access to QNSP (in whole or in part) if you violate these Terms, fail to pay applicable fees, or if we reasonably determine that your use presents a security, legal, or operational risk.

You may stop using QNSP at any time.

Disclaimers

QNSP is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Limitation of liability

To the maximum extent permitted by law, CUI Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption.

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to us for the services in the 12 months prior to the event giving rise to the claim, or SGD 100 if no fees were paid.

Some jurisdictions do not allow certain limitations; in those cases, liability will be limited to the greatest extent permitted.

Indemnity

You agree to indemnify and hold harmless CUI Labs from claims, damages, liabilities, and expenses arising out of your use of QNSP, your Customer Data, or your violation of these Terms.

Export controls and sanctions

You agree to comply with applicable export controls and sanctions laws. You represent that you are not located in a jurisdiction subject to comprehensive sanctions and are not a denied party.

Governing law and jurisdiction

These Terms are governed by the laws of Singapore, without regard to conflict of laws principles.

You agree that the courts of Singapore will have exclusive jurisdiction over disputes arising out of or relating to these Terms.

Changes to these terms

We may update these Terms from time to time. Updated versions will be posted at this URL. Your continued use of QNSP after an update becomes effective constitutes acceptance of the updated Terms.

Privacy Policy

This section describes how we collect, use, and share personal data when you use the QNSP website, docs, and QNSP Cloud.

We process personal data in accordance with applicable privacy laws, including Singapore’s Personal Data Protection Act 2012 (PDPA), and other applicable laws depending on your location and use.

Personal data we collect

  • Account and contact details (for example, name, email, organization, role).
  • Usage and telemetry information (for example, logs, request metadata, timestamps, IP address, user agent), used for security, reliability, and debugging.
  • Support and communications content you send to us.
  • Payment and billing-related information where applicable (processed via payment providers).

How we use personal data

  • Provide, operate, maintain, and secure QNSP.
  • Authenticate users and enforce access controls.
  • Respond to support requests and communicate service updates.
  • Prevent fraud, abuse, and security incidents.
  • Comply with legal obligations.

Sharing

We may share personal data with service providers who help us operate QNSP (for example, hosting, email delivery, analytics, payments) subject to appropriate contractual protections.

We may also share information as required by law, to protect the security and integrity of the services, or to respond to valid legal process.

Retention

We retain personal data for as long as needed for the purposes described above, unless a longer retention period is required or permitted by law.

Your rights

Depending on your location, you may have rights to request access to or correction of personal data, or other rights under applicable law. We will respond in accordance with applicable legal requirements.
